| چکیده | ||
| توکن‌های غیرمثلی به‌عنوان پدیده‌ای نسبتاً نوظهور با چالش‌های قانونی متعددی روبرو هستند. ازجمله، ماهیت حقوقی این توکن‌ها به‌درستی مشخص نیست و قواعد و مقررات مشخصی برای تنظیم این بازار تدوین نشده است که نتیجۀ آن، اختلاف در تبیین ماهیت حقوقی قراردادهای انتقال این توکن‌ها است، به‌نحوی که برخی این قراردادها را در قالب مجوز بهره‌برداری، تعدادی قرارداد فروش و بعضی دیگر، انتقال سهام می‌دانند. سؤال اصلی مقالۀ حاضر عبارت است از تبیین ماهیت حقوقی توکن‌های غیرمثلی و بررسی قابلیت اعمال قواعد موجود بر انتقال این توکن‌ها، و علاوه‌بر آن، ارائۀ راهکار مناسب برای اعمال در حقوق ایران. بررسی انجام‌شده نشان می‌دهد که این توکن‌ها از‌حیث ماهیت در دستۀ کالای دیجیتال قرار می‌گیرند و دارایی شخص دیجیتالی هستند. از نظر قالب قراردادی، استفاده از قراردادهای مجوز بهره‌برداری چالش‌های متعدد قانونی را برای طرفین قرارداد در پی خواهد داشت و راهکار مناسب، اعمال قواعد عقد بیع بر انتقال این توکن‌ها است که به‌نحو مشخص و کاملی مراحل انعقاد، اجرا، جبران خسارت و همچنین قواعد حمایتی را در‌بر می‌گیرد. این رویکرد با‌توجه‌به سوابق فقهی و قانونی موجود در‌خصوص بیع اموال غیرمادی، در حقوق ایران نیز قابل پذیرش است. | ||
